1. AGREEMENT TO TERMS
These Terms of Service (“Terms”) constitute a legally binding agreement between you and TGM Ventures, Inc., a Washington state corporation (“TGM Ventures,” “we,” “us,” or “our”), operating LivePFS (the “Service”). By accessing our website, creating an account, using our services, or accessing a financial statement that has been shared with you through the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.
2. SERVICE DESCRIPTION
LivePFS is a personal financial statement platform that allows users to create, manage, and share professional financial statements. Our services include financial data management, real-time calculations, optional secure connection of financial accounts through trusted third-party financial data providers to import balances and account ownership, automatic periodic refresh of connected-account data, generation of statement exports and verification artifacts that reflect provider-reported data as of a point in time, and secure document sharing. The platform enables you to organize and present your financial information in a professional format that can be shared with banks, mortgage lenders, and other recipients you choose. 3. ACCOUNTS AND ELIGIBILITY
You must be at least 18 years old and have the legal capacity to enter into these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during registration, to keep it updated, and to use the Service only for lawful purposes.
4. ELECTRONIC COMMUNICATIONS
By creating an account, you consent to receive all communications, agreements, disclosures, and notices from us electronically, including by email to the address on your account or by posting in the app. You agree that electronic communications satisfy any legal requirement that a communication be in writing. Keep your email address current; you may withdraw this consent by closing your account.
5. SUBSCRIPTIONS, BILLING, AND CANCELLATION
Free features. Creating an account, entering information manually, and downloading or emailing your own statement are free. An active paid subscription is required to connect financial institutions for automatic synchronization.
Plans and trial. Paid subscriptions are offered on the plans and at the prices posted at livepfs.com or in the app at the time of purchase, billed in advance through our third-party payment processor. New subscriptions may include a free trial of the length disclosed at signup; a valid payment method is required to start the trial, and the posted subscription price is charged automatically when the trial ends unless you cancel before that time.
Automatic renewal. Subscriptions renew automatically at the end of each billing period until cancelled. By subscribing, you authorize us and our payment processor to charge your payment method the then-current subscription price plus any applicable taxes at the start of each billing period. For subscription terms of one year or longer, we will send you a renewal reminder before your subscription renews, as required by applicable law.
Cancellation. You may cancel at any time through the billing portal in the app (Manage billing) or by contacting us. Cancellation takes effect at the end of the current paid period: you keep paid features until then, and you are not charged again. We do not provide partial-period refunds except where required by law.
Failed payments and lapse. If a renewal payment fails, we may retry it and notify you. If payment is not completed within a grace period, automatic institution connections are disconnected to stop third-party data charges. Your data is not deleted: manual entry, your existing statement, and exports remain available on the free tier.
Price changes. We may change subscription prices with at least 30 days’ advance notice by email or in the app. Price changes apply from your next renewal; if you do not agree, cancel before the renewal takes effect.
Refunds. Except as described in these Terms or required by applicable law, payments are non-refundable. If you believe you were charged in error, contact us within 30 days and we will review it.
6. SHARING YOUR STATEMENT; RECIPIENT ACCESS
Sharing is at your direction. The Service lets you share your financial statement with recipients you choose — for example, a bank or mortgage lender — by emailed link, export, or other sharing features. Sharing is initiated solely by you and at your direction. When you share your statement, you direct and authorize us to make your personal financial information available to the recipients you designate, and you understand that anyone you share with will have access to the financial information in your statement. We cannot control what a recipient does with information once you have shared it, so share only with recipients you trust and only for lawful purposes.
Managing shares. Shares remain active until they expire on the schedule you chose or you revoke them, whichever comes first. You can revoke a recipient’s access at any time in the app. We may log recipient access and may require recipients to verify their identity before viewing your statement.
Recipients. If you access a statement that another user has shared with you, these Terms apply to your access. You may access the statement only as the recipient it was shared with, and only for the purpose for which it was shared — such as evaluating information its owner has voluntarily provided to you. You agree to treat the statement and its contents as confidential, not to redistribute the share link or any access code, and to stop accessing the statement if the owner revokes your access. Verification pages confirm only that a document was generated by the Service and matched provider-reported or user-entered data at a point in time.
7. PRIVACY POLICY
Your use of our services is also governed by our Privacy Policy, which explains how we collect, use, and protect your information — including what happens to your information when you share your statement.
8. INTELLECTUAL PROPERTY AND YOUR DATA
All content on our website and platform, including text, graphics, logos, and software, is owned by TGM Ventures or its licensors and is protected by intellectual property laws. You may not use, reproduce, or distribute any content from our platform without our prior written permission. You retain ownership of the financial data you input into or connect to the platform, and by using our services, you grant us a limited license to use your data solely for the purpose of providing our services to you.
9. PROHIBITED USES
You agree not to use our platform or services for any unlawful purpose, to violate any applicable laws or regulations, to infringe upon anyone’s rights, to misrepresent your financial condition to any recipient of a statement, to transmit harmful code or malware, to interfere with the operation of our services, to attempt unauthorized access to any part of the platform or to any statement shared with someone else, to use the platform for fraudulent purposes, or to impersonate any person or entity.
10. DATA ACCURACY AND VERIFICATION
You are solely responsible for the accuracy and completeness of information you enter manually and for reviewing your statement before sharing it. Connected-account data is obtained from third-party financial data providers and reflects those providers’ records as of the time it was retrieved; we do not guarantee its accuracy, completeness, or timeliness. Any verification artifact or certificate generated by the Service indicates only that the stated data matched provider-reported or user-entered records at a point in time — it is not an audit, appraisal, or guarantee of anyone’s financial condition.
11. DISCLAIMERS
OUR SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LivePFS is a tool for organizing and presenting financial information and is not a financial advisory service. We do not provide financial, legal, or tax advice.
LivePFS is not a consumer reporting agency as defined by the Fair Credit Reporting Act (“FCRA”), and the Service does not provide “consumer reports.” All financial information in a statement is provided by, or imported at the direction of, the user who owns it, and is shared only at that user’s direction. Recipients may not use the Service or any statement as a substitute for a consumer report, or for any purpose regulated by the FCRA, except as part of evaluating information the owner has voluntarily provided to them.
12. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, TGM VENTURES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE PAST TWELVE MONTHS.
13. INDEMNIFICATION
You agree to indemnify and hold harmless TGM Ventures and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising out of your violation of these Terms or your use of our services.
14. TERMINATION
We may suspend or terminate your access to the Service, effective immediately, if you breach these Terms, if we reasonably suspect fraud or misuse, or where necessary to comply with law or protect the Service or its users. You may terminate at any time by closing your account. If we terminate your paid subscription other than for your breach, we will refund the prorated unused portion of any prepaid fees. You may export your statement and data at any time using the export features in the app. Following account closure, we delete or de-identify your personal information as described in our Privacy Policy.
15. GOVERNING LAW AND VENUE
These Terms shall be governed by the laws of the State of Washington. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in King County, Washington, and you hereby consent to the personal jurisdiction and venue of such courts.
16. CHANGES TO TERMS
We may modify these Terms. For material changes, we will provide at least 30 days’ advance notice by email or in the app before the changes take effect; non-material changes (such as clarifications) take effect when posted, with the date above updated. If you do not agree to modified Terms, cancel your subscription and stop using the Service before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms.
17. SEVERABILITY AND ENTIRE AGREEMENT
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and TGM Ventures regarding the use of our services.
